CONSIGNMENT AGREEMENT & TERMS

PLEASE READ THESE TERMS CAREFULLY BEFORE SUBMITTING CARDS FOR CONSIGNMENT. BY SUBMITTING CARDS TO MSG’S CARDS, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO THE FOLLOWING CONSIGNMENT TERMS.

1. CONSIGNMENT RELATIONSHIP

MSG’s Cards, operated by MSG’s Treasures LLC, acts as a consignment agent for cards submitted by the consignor. Ownership of submitted cards remains with the consignor until the cards are sold, unless otherwise provided in these Terms. By submitting cards for consignment, the consignor authorizes MSG’s Cards to possess, photograph, scan, list, market, sell, package, and ship the submitted cards through its approved sales channels in accordance with these Terms.

2. ELIGIBLE CARDS & MINIMUM VALUE

MSG’s Cards currently accepts Magic: The Gathering and Pokémon trading cards for consignment. Individual cards with an estimated market value of $5.00 or more may be submitted for consignment without a minimum quantity requirement. Cards with an estimated market value of $3.00–$4.99 may be accepted only as part of a submission containing at least 100 cards within that value range. Cards with an estimated market value below $3.00 are not accepted for individual consignment unless otherwise approved by MSG’s Cards. MSG’s Cards reserves the right to decline any card or submission based on condition, authenticity concerns, marketability, value, or other business considerations.

3. CARD CONDITION, IDENTIFICATION & AUTHENTICITY.

MSG’s Cards will make reasonable efforts to accurately identify each card, set, printing, language, and condition when preparing listings. Card condition is determined by MSG’s Cards based on its reasonable assessment and may differ from the consignor’s opinion or a third-party grading standard. The consignor represents that they are the lawful owner of all submitted cards and that, to the best of their knowledge, the cards are authentic and free of any liens, claims, or ownership disputes. MSG’s Cards reserves the right to reject or return any card that raises concerns regarding authenticity, alteration, condition, or ownership.

4. PRICING & LISTING

MSG’s Cards will determine initial listing prices using current market data and comparable sales. The consignor authorizes MSG’s Cards to use automated pricing software to periodically review and adjust listing prices based on changes in applicable market prices. Automated price updates may occur multiple times per day.As part of its standard pricing strategy, MSG’s Cards may round listing prices to commonly used retail price points. For example, a card with a market price of $4.25 may be listed at $4.99. Certain cards may also be priced below a market-price threshold when doing so allows the card to qualify for a more economical shipping method or otherwise improves its marketability. For example, a card valued between $20.00 and $25.00 may be listed at $19.99 when appropriate.MSG’s Cards may send promotional offers and automatically accept buyer offers of up to 10% below the current listed price without obtaining additional approval from the consignor.For individual cards valued at $100 or more, a consignor may request a minimum sale price at the time of intake. Any requested minimum must be accepted by MSG’s Cards before becoming effective. Once an accepted minimum price is established, MSG’s Cards will not knowingly sell the card below that amount without the consignor’s authorization.Unless an accepted minimum sale price applies, the consignor authorizes MSG’s Cards to make reasonable pricing adjustments and determine the appropriate marketplace, listing format, listing duration, shipping method, and other listing details necessary to market and sell the card.

5. COMMISSION, FEES & CONSIGNOR PROCEEDS

MSG’s Cards charges a commission based on the final selling price of each card. For cards sold for $5.00–$24.99, the consignor receives 85% of the selling price; $25.00–$99.99, 88%; $100.00–$499.99, 90%; and $500.00 or more, 92%.Cards accepted under the $3.00–$4.99 low-value consignment tier are subject to a flat $0.50 consignment fee per card sold rather than the percentage commission schedule. No additional processing fee applies to cards sold within this tier.For cards sold for $5.00–$24.99, a $0.49 processing fee per sold card applies. For cards sold for $25.00 or more, a $0.99 processing fee per sold card applies. These processing fees are deducted from the consignor’s proceeds in addition to the applicable commission.Buyer-paid shipping is not included in the card’s selling price when calculating the consignor’s percentage payout. There are no upfront consignment fees or storage fees unless otherwise agreed in writing.

6. SHIPPING & DELIVERY

Buyers are generally responsible for shipping charges associated with consigned card purchases. MSG’s Cards will determine the appropriate shipping method, packaging, and level of tracking or insurance based on the value, size, and circumstances of each order. Multiple cards purchased by the same buyer may be combined into a single shipment when appropriate.Shipping charges collected from buyers are intended to cover postage, packaging, handling, insurance, and related fulfillment expenses and are not included in the card’s selling price when calculating consignor proceeds. MSG’s Cards is responsible for packaging and shipping sold cards in accordance with the requirements of the applicable marketplace and shipping service.Once a card has been sold and shipped, delivery issues, lost shipments, or damaged shipments will be handled through the applicable marketplace, carrier, insurance, or buyer-protection process when available.

7. RETURNS, REFUNDS & CHARGEBACKS

All sales of consigned cards are subject to the return, refund, dispute, and buyer-protection policies of the marketplace through which the card is sold. MSG’s Cards may accept or process a return, refund, cancellation, payment dispute, or other adjustment when required by marketplace policy or when MSG’s Cards reasonably determines that doing so is necessary to resolve a transaction.If a consigned card is returned or a transaction is otherwise reversed before the consignor has been paid, no payout will be due for that transaction. If the returned card remains eligible for sale, MSG’s Cards may relist the card for consignment.If a return, refund request, payment dispute, chargeback, buyer-protection claim, or other transaction-related case is pending when a payout would otherwise become due, payment for that transaction will remain on hold until the matter has been fully resolved. This hold will apply only to the affected transaction and will not delay payment for other eligible completed sales.Once MSG’s Cards has issued the consignor’s payout for a completed sale, that payout is considered final. MSG’s Cards will not seek reimbursement from the consignor for a subsequent buyer return, refund, chargeback, payment dispute, or other transaction reversal. Any such loss occurring after the consignor has been paid will be the responsibility of MSG’s Cards.Consignor proceeds are held until the applicable marketplace return period and any required payment-hold period have passed and there are no unresolved claims or disputes affecting the transaction.

8. PAYOUTS

Consignor proceeds become eligible for payout after the applicable marketplace return period and any required payment-hold period have expired, provided there are no open returns, disputes, chargebacks, buyer-protection claims, or other unresolved issues affecting the transaction.Consignor payouts are made by ACH direct deposit to the bank account provided by the consignor. The consignor is responsible for providing and maintaining accurate payment information. MSG’s Cards is not responsible for delays caused by incorrect, incomplete, or outdated banking information supplied by the consignor.Sales subject to an active return, dispute, chargeback, buyer-protection claim, marketplace hold, or similar issue will remain pending until the matter is resolved. A hold affecting one transaction will not prevent other eligible transactions in the consignor’s account from being paid.Once a payout has been issued by MSG’s Cards, that payout is considered final and will not be subject to reimbursement or clawback because of a subsequent buyer return, refund, dispute, chargeback, or other transaction reversal, except in cases involving fraud, misrepresentation, counterfeit merchandise, disputed ownership, or other misconduct attributable to the consignor.The consignor is responsible for maintaining accurate contact and payment information and for any taxes or reporting obligations arising from their consignment proceeds.

9. UNSOLD CARDS & WITHDRAWAL

Consigned cards will remain available for sale until sold, withdrawn, returned, or otherwise removed from consignment in accordance with these Terms. MSG’s Cards does not guarantee that any submitted card will sell within a specific period of time.Consigned cards are subject to a minimum consignment period of 60 days from the date the cards are listed for sale. A consignor requesting the return of cards before the expiration of the 60-day minimum consignment period will be charged an early-withdrawal fee of $0.50 per card withdrawn.After the 60-day minimum consignment period has expired, a consignor may request the return of any remaining unsold cards without an early-withdrawal fee. The consignor is responsible for all shipping costs associated with returning the cards.Cards that have already sold, have an accepted buyer offer, are part of a pending transaction, or are otherwise committed to a buyer cannot be withdrawn.MSG’s Cards may require payment of any applicable early-withdrawal fees and return shipping charges before withdrawn cards are returned to the consignor.MSG’s Cards reserves the right to discontinue offering a card for sale and return it to the consignor if the card becomes unmarketable, falls below applicable minimum-value requirements, presents authenticity or condition concerns, or is otherwise unsuitable for continued consignment. No early-withdrawal fee will apply when MSG’s Cards initiates the return.

10. LOSS, DAMAGE & SECURITY

MSG’s Cards will exercise reasonable care in the handling, storage, and protection of consigned cards while they are in its possession. Consigned inventory will be stored in a secure manner and handled as necessary for identification, scanning, listing, storage, sale, packaging, and shipment.In the event a consigned card is lost, stolen, or physically damaged while in the possession and control of MSG’s Cards due to circumstances attributable to MSG’s Cards, liability will be limited to the card’s reasonable fair market value immediately before the loss or damage occurred.Fair market value will be determined using reasonably available market data, recent comparable sales, card condition, and other relevant information. The consignor acknowledges that trading-card values fluctuate and that an asking price or previously listed price does not necessarily establish fair market value.MSG’s Cards will not be responsible for pre-existing damage, defects, alterations, authenticity issues, or condition problems that existed before the card was received.Loss or damage occurring after shipment to a buyer will be handled in accordance with the shipping, marketplace, carrier, and insurance provisions described elsewhere in these Terms.

11. CONSIGNOR REPRESENTATIONS & OWNERSHIP

The consignor represents and warrants that they are the lawful owner of all cards submitted to MSG’s Cards for consignment or are otherwise legally authorized to consign and sell the cards.The consignor represents that submitted cards are free from liens, security interests, ownership claims, or other restrictions that would prevent their lawful sale.The consignor agrees not to knowingly submit counterfeit, stolen, fraudulently obtained, materially altered, or otherwise unlawful merchandise. The consignor is responsible for providing accurate information regarding any known alteration, restoration, damage, authenticity concern, or other material issue that could affect a card’s value or sale.If a submitted card is later determined or reasonably suspected to be counterfeit, stolen, unlawfully owned, materially misrepresented, or otherwise ineligible for sale, MSG’s Cards may immediately remove the card from sale, withhold any unpaid proceeds associated with the card, and cooperate with the applicable marketplace, payment provider, law enforcement agency, or lawful owner as reasonably required.If MSG’s Cards has already issued payment for a card and a subsequent loss results from fraud, counterfeit merchandise, disputed ownership, or material misrepresentation attributable to the consignor, MSG’s Cards reserves the right to seek reimbursement for the resulting loss and any directly related costs.

12. TAXES & REPORTING

The consignor is responsible for determining and satisfying any federal, state, or local tax obligations arising from payments received through the consignment service.MSG’s Cards may collect, maintain, and report information regarding consignment transactions and payments when required by applicable law. The consignor agrees to provide accurate tax identification or other information reasonably required for payment processing, recordkeeping, or tax reporting purposes.Sales tax collected and remitted by an online marketplace or other sales platform is not considered part of the card’s selling price for purposes of calculating consignor proceeds.Nothing provided by MSG’s Cards regarding taxes or reporting is intended to constitute tax, legal, or accounting advice. Consignors should consult their own qualified professional regarding their individual tax obligations.

13. TERMINATION OF CONSIGNMENT

Either the consignor or MSG’s Cards may terminate the consignment relationship at any time, subject to the minimum consignment period, early-withdrawal fees, pending sales, and other provisions of these Terms.Upon termination, MSG’s Cards will complete any transactions already in progress and pay any eligible consignor proceeds according to the normal payout schedule. Remaining unsold cards will be returned to the consignor, with return shipping costs being the responsibility of the consignor unless MSG’s Cards agrees otherwise.MSG’s Cards reserves the right to immediately suspend or terminate a consignment relationship when reasonably necessary because of suspected fraud, counterfeit or stolen merchandise, abusive conduct, repeated disputes, violation of these Terms, or other circumstances that create unreasonable legal, financial, or operational risk.

14. LIMITATION OF LIABILITY & CHANGES TO TERMS

To the fullest extent permitted by law, MSG’s Cards will not be liable for indirect, incidental, special, or consequential losses arising from the consignment service, including changes in card market value, lost sales opportunities, marketplace outages, buyer conduct, or circumstances outside the reasonable control of MSG’s Cards.Except where otherwise specifically provided in these Terms or required by law, any liability of MSG’s Cards relating to an individual consigned card will not exceed the reasonable fair market value of that card at the time the event giving rise to the claim occurred.MSG’s Cards may update these Terms from time to time to reflect changes in its services, fees, marketplace requirements, or applicable laws. Material changes affecting existing consignments will be communicated to affected consignors when reasonably necessary. Changes will not retroactively alter commissions or fees already earned on completed sales.

15. GOVERNING LAW & ACCEPTANCE

These Terms and any consignment relationship with MSG’s Cards will be governed by and interpreted in accordance with the laws of the State of South Carolina, without regard to conflict-of-law principles.By submitting cards to MSG’s Cards for consignment, the consignor acknowledges that they have read, understood, and agreed to these Consignment Agreement & Terms. The consignor further acknowledges that they have had the opportunity to review these Terms before submitting their cards.Electronic acceptance of these Terms, including acceptance through an online consignment or intake form, will have the same effect as a written signature to the extent permitted by applicable law.If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

ADDENDUM A — MARKETPLACE SALES & BUYER BEHAVIOR

This Addendum is incorporated into and forms part of the MSG’s Cards Consignment Agreement & Terms. Consignors acknowledge that the sale of trading cards through online marketplaces involves buyer activity, marketplace policies, and market conditions that are not entirely within the control of MSG’s Cards.Consigned cards may be offered for sale through eBay and other marketplaces or sales channels selected by MSG’s Cards. Listing a card for sale does not guarantee that the card will sell or that it will sell within any particular period of time.Trading-card prices can change frequently. Listing prices may increase or decrease based on current market data, comparable sales, demand, automated repricing, and the pricing practices described in the Consignment Agreement & Terms. The price displayed at one point in time may therefore differ from the price at which a card is ultimately sold.Online buyers may submit offers, request cancellations, fail to complete payment, open returns, report delivery problems, dispute card condition, initiate payment disputes or chargebacks, or use other buyer protections provided by the applicable marketplace. MSG’s Cards will manage these situations in accordance with its reasonable business judgment, the Consignment Agreement & Terms, and applicable marketplace policies.Marketplace rules, buyer-protection policies, payment holds, technical problems, account restrictions, shipping requirements, or other circumstances outside the reasonable control of MSG’s Cards may occasionally delay, modify, cancel, or reverse a transaction.Consignors authorize MSG’s Cards to communicate with buyers, marketplaces, payment providers, and shipping carriers as reasonably necessary to manage consigned-card transactions and resolve transaction-related issues.Nothing in this Addendum changes the commission, payout, return, withdrawal, or other provisions contained in the MSG’s Cards Consignment Agreement & Terms. In the event of a conflict between this Addendum and the main Consignment Agreement & Terms, the main Consignment Agreement & Terms will control.

ADDENDUM B — CONSIGNOR ACCOUNT, COMMUNICATION & PAYMENTS

This Addendum is incorporated into and forms part of the MSG’s Cards Consignment Agreement & Terms.MSG’s Cards may provide consignors with access to an online consignor portal where they can view information regarding submitted inventory, listed cards, sales activity, pending proceeds, and completed payouts. Information displayed in the portal is provided for account-management purposes and may change as transactions are completed, returned, canceled, adjusted, or otherwise resolved.A sale appearing in the consignor portal does not necessarily mean that the proceeds are immediately available for payout. Proceeds become eligible for payment only after the applicable return and payment-hold requirements described in the Consignment Agreement & Terms have been satisfied.Consignor payouts are made by ACH direct deposit only. Consignors are responsible for maintaining accurate banking, contact, and other information necessary to receive payments.Consignors authorize MSG’s Cards to communicate with them electronically regarding their consignment account, including by email, text message, online portal, or other electronic methods reasonably used by MSG’s Cards.In the event of a conflict between this Addendum and the main Consignment Agreement & Terms, the main Consignment Agreement & Terms will control.
